Forming an LLC.

Personal opinion: I work with a law firm that daily forms different types of business entities nationwide. You don't necessarily need an attorney to "form" a single-member LLC. You DO NEED to consult with an attorney and your tax adviser (or a tax attorney) to decide WHICH is the best route for YOUR specific business. Write down specifically what you need your "entity" to do for you.

Many people form an LLC or a corporation first then 2-3 years down the road come to an attorney to dissolve them;i.e., the annual expenses of the entity are not worth the "protection" the entity was created for. These people decided to form fast and first and discovered costs later.

Generally people get an attorney to help them create an LLC or Corporation. But, you need to know the procedure too as Bobbi layed it out.

Forming an LLC. I believe in Virginia it is through the Secretary of State's Commercial Division; start there and they can help you.

In CT we do this through the Secretary of State's office, CT Dept. of Revenue Services and IRS. The forms are all on-line.

For example, just three of the CT considerations:
1. Articles of Organization filed w/ the Commercial Recording Div. of the Secretary of State (pay filing and annual fees to State).
2. Obtain a CT DRS TIN; i.e., CT has a Business Entity Tax that is $250 per year (pay annual "existence tax" to State).
3. Obtain and FEIN from the IRS, again for tax purposes unless you choose to remain as a sole member/proprietor, in which case the LLC can be under your SSN.

You do realize that forming an LLC will NOT shield your personal assets from a flawed notarization; i.e., you are a "public servant" and that's the personal risk you take with each notarization. It may form some protection for your "signing agent" and other business work.

Can anyone with any experience incorporating as a LLC give me any info on where to look for the licensing? Any help would be appreciated. What I have found runs the gamut from 175.00 to 365.00. I am in the state of Va.
